1 minuteHELLENIC PETROLEUM S.A. hereby announces that the merger between the Group’s Sociétés Anonymes “HELLENIC FUELS S.A.” and “EKO INDUSTRIAL AND COMMERCIAL PETROLEUM COMPANY S.A.” was approved on 31st of August 2016, by way of absorption of the latter by the former, in accordance with the provisions of articles 68 par. 2 and 69-77a of c.l. 2190/1920 (Greek Company Law) and articles 1-5 of L. 2166/1993. [General Commercial Registry (GCR) Notice with protocol no. 53931/31-8-2016].
More specifically, “EKO INDUSTRIAL AND COMMERCIAL PETROLEUM COMPANY S.A.” has been deleted from the companies’ registries (GCR Notice with protocol no. 53930/31-8-2016] and has transferred its entire assets and liabilities to “HELLENIC FUELS S.A.”, along with its rights and obligations, including administrative licenses issued to its name.
Furthermore, “HELLENIC FUELS S.A.”’s name was amended to “HELLENIC FUELS AND LUBRICANTS INDUSTRIAL AND COMMERCIAL S.A.” (full name in Greek is «ΕΛΛΗΝΙΚΑ ΚΑΥΣΙΜΑ ΟΡΥΚΤΕΛΑΙΑ ΑΝΩΝΥΜΟΣ ΒΙΟΜΗΧΑΝΙΚΗ KAI ΕΜΠΟΡΙΚΗ ΕΤΑΙΡΕΙΑ»), with distinctive title “EKO ABEE”.
