Signing of the Share Purchase Agreement for the acquisition of 50% of the share capital of Elpedison B.V.

Pursuant to the announcement dated 19 December 2024, HELLENiQ ENERGY Holdings S.A. (the “Company”), announces that on 30 December 2024 the transfer of the Company's 35% participation in the share capital of DEPA Commercial S.A. to the Hellenic Republic Asset Development Fund S.A. (HRADF) was completed.

Pursuant to a prior announcement, HELLENiQ ENERGY Holdings S.A. (the “Company”), informs the investor community that today, 19 December 2024, an agreement for the sale and transfer (the “Transaction”) of the Company’s 35% stake in DEPA Commercial S.A. (“DEPA”) was signed between the Company, as the seller, and the “Hellenic Republic Asset Development Fund S.A.” (“HRADF”), as the buyer.

HELLENiQ ENERGY Holdings S.A. (the "Company") announces that its Board of Directors has approved an agreement for the sale of its 35% stake in the share capital of DEPA Commercial S.A. ("DEPA") to the Hellenic Republic Asset Development Fund (HRADF). In accordance with Article 101, Paragraph 2 of Law 4548/2018, the Company has submitted a relevant announcement to the General Commercial Register (G.E.MI.) on 18 December 2024, seeking the issuance of a special license as provided in Articles 99, Paragraphs 1 and 2, and Article 100 of the aforementioned law, for the execution of a contract with a related party.
